Introduction
These Terms of Service (“Terms”) set forth the conditions under which you may access or use the websites — includinghttps://graphorlm.com, https://app.graphorlm.com, https://docs.graphorlm.com, and any successor domains (collectively, the “Sites”) — together with all related software, documentation, APIs, SDKs, MCP transports, and digital, mobile, or online services (collectively with the Sites, the “Service”) provided by SYNAPSE INOVAÇÃO E TECNOLOGIA LTDA., a company organized under the laws of the Federative Republic of Brazil (“Synapse,” “Graphor,” “we,” “our,” or “us”).
By accessing or using the Service, or by clicking “I Agree” (or a similar confirmation), you acknowledge that you have read, understood, and agree to be bound by these Terms. You also confirm that you have reviewed the Privacy Policy.
These Terms apply to all individuals and entities that access or use the Service (collectively, “Users,” and as applicable to you, “you” or “your”). Failure to comply with these Terms may result in suspension or termination of your account at our discretion.
We may update these Terms from time to time. When we do, the “Last updated” date in the front matter changes and the change history at the bottom records the change. For material changes, we notify Users at least 30 days before the change takes effect.
1. Service Administration
1.1 Eligibility
You may use the Service if you have the legal capacity to enter into a binding contract with us and are in full compliance with these Terms and with all applicable local, national, and international laws, rules, and regulations (“Applicable Law”). Use by individuals under the age of majority in their jurisdiction is not permitted except under the supervision of a parent or legal guardian who has reviewed and consented to these Terms.1.2 User Accounts
Your User Account. Your account on the Service (the “User Account”) provides access to the features and functionality we make available. You do not have ownership of your User Account, and you do not have rights to any data stored by Synapse on the servers hosting the Service beyond your rights under these Terms and the Privacy Policy. Organizational Accounts. If you access or use the Service on behalf of a company or other entity (an “Organization”), these Terms form an agreement between (i) you and Synapse, and (ii) the Organization and Synapse. Connecting via third-party services. By linking the Service to a third-party service (for example, signing in with Google), you authorize us to access and use information from that service as permitted by it, and to store login credentials or access tokens necessary to operate the integration. Account security. You may not use another User’s account without permission. You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for activity on your User Account and for the security of your passwords, API tokens, and other authentication credentials. Best practices for API tokens are described in Tenant Isolation §5. Account settings and communications. By providing your email address, you consent to receiving Service-related notices by email. You can opt out of marketing emails at any time by contacting support@graphorlm.com.1.3 Changes, suspension, and termination
You may deactivate your User Account at any time by contacting support@graphorlm.com; for account-level data deletion, see Privacy Policy §7. Synapse reserves the right, with or without notice, to modify, limit, or discontinue the Service or any features of the Service for you or for all Users. We may, at our discretion, temporarily suspend or permanently terminate your access to your User Account and/or the Service in response to a material breach of these Terms.1.4 Third-Party Products
The Service may make certain third-party products or services available, including open-source software and the subprocessors listed on the Subprocessors page. Third-party products may be subject to separate or additional terms and conditions.2. Access and Restrictions
2.1 License grant
Subject to your compliance with these Terms and any accompanying documentation, Synapse grants you a non-exclusive, limited, non-transferable, and revocable license to access and use the Service solely for your personal use or, where applicable, for your internal business purposes, in accordance with the features and limitations of the Service.2.2 Restrictions
Except as expressly permitted by Applicable Law, you agree not to (and not to assist, permit, or enable any third party to):- Disassemble, reverse-engineer, decode, or decompile any part of the Service.
- Use automated tools to access the Service in a manner that generates more requests than a human could reasonably produce, except via the documented API rate limits.
- Use content from the Service to train machine-learning models, AI systems, or technologies designed to identify natural persons.
- Copy, rent, lease, sell, transfer, sublicense, resell, distribute, modify, or create derivative works of the Service.
- Use the Service in a way that materially affects server stability, Service performance, or other Users’ applications.
- Use the Service for illegal, fraudulent, deceptive, defamatory, or otherwise harmful purposes.
- Interfere with the security or integrity of the Service.
- Use the Service to transmit spam, chain letters, or unsolicited bulk communications.
- Transmit malicious code, viruses, worms, or other harmful software through the Service.
- Impersonate any person or entity or misrepresent your affiliation.
- Collect or harvest personal information about other Users from the Service.
3. User Content
3.1 What is User Content
The Service allows you to submit, upload, store, ingest, or transmit content (“User Content”), which includes Customer Content as defined in the Privacy Policy §3.3.2 Rights to User Content
Synapse does not claim ownership of your User Content. All User Content you submit through the Service remains yours. By providing User Content through the Service, you grant Synapse a worldwide, royalty-free, non-exclusive license, with the right to grant sublicenses to its subprocessors, to use, copy, store, modify, transmit, and process such User Content strictly to the extent reasonably necessary to provide, maintain, and improve the Service for you. This license terminates when you delete the User Content via the DSR API or otherwise direct Synapse to delete it. Synapse does not use User Content to train AI models. This is a contractual commitment described in Model Use and Training and incorporated into the Data Processing Addendum. User Content is encrypted in transit and at rest per Trust Center §3.3.3 Representations and warranties about User Content
You represent and warrant that, for any User Content you provide:- You have obtained all consents required from identifiable persons appearing in the User Content.
- You are solely responsible for obtaining all consents required by Applicable Law.
- The User Content does not violate any Applicable Law or infringe the rights of any third party.
- The User Content does not include classified governmental information.
- The information you provide is accurate and truthful to the best of your knowledge.
3.4 Disclaimer
Synapse is not responsible for the contents of User Content. You are solely responsible for your User Content and for the consequences of submitting, storing, or transmitting it through the Service.4. Intellectual Property
4.1 Synapse intellectual property
You acknowledge that Synapse (or its licensors) owns and will continue to own all rights, title, and interest — including all intellectual property rights — in and to the Service, all materials made available on or through the Service, and all software, algorithms, code, technology, and other intellectual property underlying or included with the Service (collectively, the “Intellectual Property”).4.2 Usage Data
We may collect diagnostic, technical, usage, and related information about your devices, systems, and use of the Service (collectively, “Usage Data”). Usage Data is described in Privacy Policy §3 under “Operational Telemetry.” Synapse may use and process Usage Data for any lawful purpose consistent with the Privacy Policy.4.3 Feedback
If you provide suggestions, recommendations, or other feedback regarding the Service (“Feedback”), you grant Synapse a perpetual, worldwide, royalty-free, transferable, sublicensable license to use the Feedback for any purpose, including for product improvement, without obligation to you.5. Confidential Information
The Service may include non-public, proprietary, or confidential information of Synapse (“Confidential Information”). You agree to protect Synapse’s Confidential Information with at least the same degree of care you use to protect your own confidential information of similar sensitivity, to use it solely for the purposes contemplated by these Terms, and not to disclose it to third parties except to your own service providers, financial advisors, or legal advisors who are bound by non-disclosure obligations. This obligation is mutual. Synapse undertakes equivalent obligations with respect to any of your confidential information it receives in the course of providing the Service, including Customer Content as described in the Privacy Policy and the Data Processing Addendum.6. Payments and Subscriptions
6.1 Billing
Some aspects of the Service may be provided at no charge until your usage exceeds the threshold set in your User Account. Other aspects require payment of a fee (the “Fee”). By exceeding the free threshold or using paid aspects of the Service, you agree to the pricing and payment terms applicable to your subscription. Unless expressly stated otherwise, all Fees are paid in advance, are non-cancelable once incurred, and are non-refundable.6.2 Definitions
- “Subscription” means a portion of the Service offered on an automatically renewing basis.
- “Subscription Fee” means the recurring payment due for a Subscription.
- “Payment Processor” means any third-party payment processor we engage to handle payments — currently Stripe, Inc.
6.3 Payment Method
To access non-free aspects of the Service, you must provide at least one valid payment method (“Payment Method”). By providing a Payment Method, you authorize Synapse and the Payment Processor to charge the Payment Method for applicable Fees and Taxes. Synapse does not store full credit-card data — payment-card information is submitted directly by you to the Payment Processor. See Subprocessors §5 for what data we share with Stripe.6.4 Subscription renewal
Subscriptions are billed on an automatically renewing basis under the pricing terms shown at signup. You may deactivate your User Account or any Subscription at any time by contacting support@graphorlm.com. Refund requests for billing disputes are evaluated on a case-by-case basis.7. Privacy and Security
Your privacy is governed by the Privacy Policy. Synapse does not use your personal information or any User Content to train its AI models. The Service is operated under the security posture documented in the Trust Center, with the following key commitments:- Encryption at rest and in transit — Trust Center Overview §3.
- Tenant isolation — Tenant Isolation.
- Retention and deletion — Data Retention.
- Incident response and breach notification — 72-hour customer-notification SLA per Incident Response.
- Data Processing Addendum — for enterprise customers, the DPA incorporates Standard Contractual Clauses and the subprocessor commitments above.
8. Third-Party Services
The Service may include links to third-party websites, materials, or services (“Third-Party Services”) that are not owned or controlled by Synapse. If you choose to use any Third-Party Service in connection with the Service, you agree to comply with the terms of that third party. Synapse does not endorse or assume responsibility for Third-Party Services. The Privacy Policy and these Terms do not apply to your use of Third-Party Services. This Section does not apply to the subprocessors listed in Subprocessors, which Synapse engages directly to provide the Service. Subprocessors are governed by Synapse’s contractual relationship with them and by the Data Processing Addendum.9. Release and Indemnity
You agree to release and hold harmless Synapse, Graphor, and their affiliates from any claims, damages, obligations, losses, liabilities, costs, debts, or expenses arising out of any dispute between you and a third party (including other Users) in connection with the Service. You agree to indemnify, defend, and hold harmless Synapse, Graphor, and their affiliates from any claims, damages, obligations, losses, liabilities, costs, debts, or expenses arising out of: (a) your breach of these Terms; (b) your violation of Applicable Law; (c) your infringement of any third-party right through your use of the Service; or (d) your User Content.10. No Warranty and Disclaimers
The Service is provided “as is” and “as available.” Your use of the Service is at your own risk. To the fullest extent permitted by Applicable Law, the Service, the Intellectual Property, and any other information available through the Service are provided without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, Synapse does not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. Some jurisdictions do not allow the exclusion or limitation of certain implied warranties. If this applies to you, certain limitations in this Section may not apply.11. Limitation of Liability
To the maximum extent permitted by Applicable Law, in no event will Synapse, Graphor, or their affiliates be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages — including damages for loss of profits, goodwill, use, data, or other intangible losses — arising out of or relating to the use of, or inability to use, the Service. In no event will Synapse’s aggregate liability to you for any claim relating to the Service exceed the greater of (a) the amount you paid to Synapse for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00). Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the limitations in this Section may not apply to you in those jurisdictions.12. Governing Law and Dispute Resolution
12.1 Governing law
These Terms, and any dispute, claim, or controversy arising out of or relating to them, the Service, or your use thereof, are governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law principles.12.2 Arbitration
Before initiating arbitration, you agree to first contact us at support@graphorlm.com to attempt to resolve the dispute amicably. If a resolution is not reached within sixty (60) days, either party may submit the dispute to binding arbitration conducted in Portuguese, in the city of São Paulo, State of São Paulo, Brazil.12.3 Class action and jury trial waiver
By entering into these Terms, you and Synapse each waive the right to a trial by jury and the right to participate in a class action, collective action, private attorney general action, or other representative proceeding.13. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and, where applicable, the Data Processing Addendum, constitute the entire agreement between you and Synapse regarding the Service and supersede any prior or contemporaneous understandings.
- Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remaining provisions remain in full force.
- Waiver. No waiver of any provision is binding unless in writing and signed by the party making the waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
- Assignment. You may not transfer or assign these Terms or any rights granted hereunder without Synapse’s prior written consent. Synapse may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, on notice to you.
- No partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Synapse.
- Notices. Notices to Synapse should be sent to support@graphorlm.com. Notices to you may be delivered to the email address on file for your User Account.
